    These Terms of Service govern your use of monkfruithub.com. Read them alongside our Privacy Policy and Cookie Policy. By using the site you accept these terms. If you do not accept them, please stop using the site.

    Operator. Guangzhou Vol Sea Technology Co., LTD, Room A7209, 6th–7th Floor, Building I, No. 6, Helong Yiheng Road, Hebian, Baiyun District, Guangzhou City, Guangdong Province, China. Contact: info@monkfruithub.com.

    1. Who may use this site

    This is a business-to-business catalogue. The content is written for professionals buying ingredients in commercial quantities — formulators, purchasing managers, quality and regulatory staff. You may use it if you are acting in a business capacity and are able to form a binding contract where you are. We do not sell to consumers through this site, and nothing on it is an offer to a consumer.

    2. What you may do with the content

    You may:

    • read, print and download pages for your own internal business evaluation;
    • quote short extracts in your internal documents, specifications or supplier comparisons, with attribution to monkfruithub.com;
    • link to any public page on the site.

    You may not, without our written permission:

    • republish substantial parts of the site, or mirror it, on another site or in another medium;
    • sell, sublicense or commercially exploit the content;
    • use the content to train a machine-learning model or to build a competing dataset for resale;
    • present our specifications, certificates or claims as your own;
    • scrape the site at a rate or in a manner that degrades it for others, or in breach of our robots.txt;
    • remove or obscure any copyright, trade mark or attribution notice;
    • use the site to transmit anything unlawful, defamatory, deceptive or harmful, or to attempt to gain unauthorised access to it.

    3. Intellectual property

    The site as a whole — its text, layout, design, code, images, product descriptions, data compilations, and the selection and arrangement of them — is owned by Guangzhou Vol Sea Technology Co., LTD or licensed to us, and is protected by copyright, trade mark and unfair-competition law. Monk Fruit Hub and the associated marks are ours. Product names, botanical names and INCI-style designations are used descriptively.

    Third-party material. Certifications, test reports and analytical results shown on the site were produced by the independent laboratories and certification bodies named on the relevant page. Those parties own their reports. We reproduce them — unless a page states otherwise — as factual statements about the batch or product they examined, not as a general endorsement of everything else on the site, and not under licence to you. Where a page says a report is reproduced with permission, that permission is limited to this site.

    If you believe material on the site infringes your rights, write to info@monkfruithub.com with enough detail for us to identify it. We will look at it promptly and remove or restrict the material where the claim is well founded.

    4. Product information, specifications and samples

    Specifications, assays, sweetness figures, packaging, lead times, certifications and availability on this site are given in good faith and reflect what we know when the page is published. They are typical values and commercial descriptions, not guarantees, and they are not a specification sheet for a particular lot.

    • The certificate of analysis for the batch you actually receive is the authoritative statement about that batch. Ask for it before you accept a delivery.
    • Formulation figures — sweetness equivalence, replacement ratios, cost-in-use, dosage — are starting points. Matrix, pH, process temperature and your own taste panel decide the real number. Test before you commit.
    • Regulatory status differs by market. Whether a product may be used, at what level, and under what labelling, is determined by the law of the country where the finished food or supplement is sold. You are responsible for that determination. We will supply the documentation we hold; we do not certify compliance with a market we have not examined.
    • Availability and price change. Nothing on the site reserves stock or fixes a price.
    • Samples are supplied for evaluation only, in the quantity we agree, and are not for resale or for use in finished goods sold to consumers.

    5. Enquiries, quotations and when a contract exists

    This is the part that most often causes a dispute, so we state it plainly.

    • An enquiry is not an order. Submitting the form, or answering it by email, starts a conversation. It does not create a contract.
    • A quotation is not an offer that binds us. A quotation is an invitation to treat. It states the terms we would be prepared to work on at the time it is given, and it expires on the date shown or, if none is shown, 30 days after issue. We may withdraw or revise it before you accept, including because a raw-material cost or an exchange rate moved.
    • A contract is formed only on our written order confirmation. Until you have that confirmation, no contract exists — regardless of what a quotation, a pro-forma invoice, or a conversation said.
    • Your purchase order does not bind us by itself. Terms printed on your order form, or referenced by it, apply only if we accept them in writing. Where our confirmation and your order conflict, our confirmation governs.
    • Samples and specifications in a quotation are illustrative unless the confirmation says they are contractual.

    6. Price, payment, delivery and inspection

    Where a contract is formed, the following apply unless the order confirmation says otherwise.

    • Price — as stated in the confirmation, in the currency stated, exclusive of tax, duty and freight unless stated to be inclusive.
    • Payment — by the method and within the period in the confirmation. Late payment may attract interest at the rate in the confirmation, and we may suspend further shipments while an undisputed invoice is overdue.
    • Delivery — to the Incoterm in the confirmation. Risk passes at the point that Incoterm specifies. Delivery dates are estimates; we will tell you promptly if one slips.
    • Inspection and claims — inspect the goods on arrival. Tell us in writing of any shortage, damage or non-conformity that a reasonable inspection would reveal within 7 days of delivery, and of any latent defect within 30 days of delivery, in either case before the goods are processed, blended or repacked. A claim made after that, or after the goods have been processed, is time-barred. Keep the batch number and a retained sample — a claim without either is very hard to investigate.
    • Remedy — for a valid claim we will, at our option, replace the goods, credit you for them, or agree a price adjustment. That is the remedy described in §8.

    7. Disclaimer

    The site is provided “as is” and “as available”. To the fullest extent the law allows, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy and uninterrupted availability.

    Specifically, and without limiting the above: we do not warrant that the site will be error-free or always available; that the content is complete, current or free of mistakes; that the specifications describe any particular lot; or that the regulatory information is sufficient for your market. Technical, regulatory and commercial information goes stale — checking it with us directly is part of using it responsibly.

    Nothing in this section limits any non-excludable right you have under the consumer or product-safety law of your jurisdiction, or any warranty that law implies and does not permit us to exclude.

    8. Limitation of liability

    To the fullest extent the law allows:

    • We are not liable for indirect or consequential loss of any kind — lost profit, lost production, lost sales, business interruption, loss of goodwill, recall cost, or the cost of replacing or reformulating a finished product.
    • Our total aggregate liability arising out of or in connection with your use of the site is limited to the greater of USD 100 or the amount you have actually paid us, if any, in connection with the matter giving rise to the claim.
    • Where a contract for goods exists, our liability under it is capped by the terms of the order confirmation, which take precedence over this section for that contract.
    • We are not liable for loss caused by your reliance on the site where you should reasonably have verified the point with us — in particular, specification, regulatory status and price.

    Nothing here excludes or limits liability that cannot lawfully be excluded: liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for a defect in a product we supplied to the extent product-safety law makes that liability strict and non-excludable, or for anything else the law of your country will not let us disclaim.

    9. Indemnity

    You agree to indemnify us against claims, losses and reasonable costs arising from your breach of these terms, from your unlawful use of the site, or from your presentation of our content or claims in a way these terms do not allow.

    10. Third-party links and services

    The site links to services we do not control, including LinkedIn and WhatsApp. We are not responsible for their content, their availability, or what they do with your data. Their own terms and privacy policies govern your use of them.

    11. Force majeure

    Neither party is liable for a failure or delay in performance caused by an event beyond its reasonable control — including act of God, extreme weather and crop failure affecting raw material, epidemic or pandemic, government action, embargo, port or customs closure, industrial action, war, terrorism, civil unrest, energy or transport disruption, or failure of a supplier or carrier. The affected party must notify the other promptly, take reasonable steps to mitigate, and resume performance as soon as it can. If the event continues for more than 60 days, either party may cancel the affected order by written notice; amounts already paid for goods not delivered will be refunded.

    12. Suspension and termination

    We may suspend or end your access to the site, in whole or in part, if you breach these terms, if we reasonably believe your use is unlawful or harmful to us or to others, or if we need to for security, legal or operational reasons. We may also withdraw or restrict any part of the site, or the whole of it. Where we end access for breach, the sections of these terms that by their nature should survive — intellectual property, disclaimer, limitation of liability, indemnity, governing law — continue to apply.

    13. Changes to these terms

    We may amend these terms. When we do, we update the “Last reviewed” date at the top of the page and publish the new version at this URL. For a material change — one that affects your rights or obligations — we will take reasonable steps to give notice before it takes effect; continuing to use the site after the change takes effect means you accept the amended terms. If you do not, stop using the site. The version in force when a contract was formed continues to govern that contract unless we agree otherwise in writing.

    14. Governing law and dispute resolution

    Governing law. These terms and any dispute arising out of them are governed by the laws of the People’s Republic of China, excluding its conflict-of-laws rules and excluding the United Nations Convention on Contracts for the International Sale of Goods.

    Local mandatory law may prevail. If you are a business established in a jurisdiction whose mandatory law gives you protections that cannot be waived by contract — including consumer-protection, product-safety, data-protection or unfair-terms rules — that law prevails over this §14 to the extent of the conflict, and the rest of these terms continue to apply. Nothing in these terms is intended to deprive you of a right your local law confers and does not permit you to give up.

    Dispute resolution. The parties will first try to resolve a dispute by good-faith discussion between people with authority to settle it, within 30 days of one party giving the other written notice of the dispute. If that fails, the dispute is submitted to the Guangzhou Arbitration Commission for arbitration in Guangzhou, in English, by a single arbitrator, and the award is final and binding. Either party may seek interim or injunctive relief from a competent court, and either may bring proceedings in a court of competent jurisdiction to enforce an award.

    Time limit. A claim under these terms must be brought within one year of the claimant becoming aware of the facts giving rise to it, except where a longer period is prescribed by law that cannot be shortened.

    15. General

    • Severability. If a provision is held unenforceable, it is modified to the minimum extent needed to make it enforceable, or severed if that is not possible; the rest stands.
    • No waiver. A failure to enforce a provision immediately is not a waiver of it.
    • Entire agreement. These terms, together with the Privacy Policy and Cookie Policy, are the whole agreement between us about your use of the site. They do not override an order confirmation for the goods it covers.
    • Assignment. You may not assign these terms without our written consent. We may assign them to a successor in the business.
    • Language. These terms are published in several languages. If the translations differ, the English version governs, except where the law of your country requires the local language version to prevail.
